Terms of Service
Effective date: July 1, 2024
These Terms of Service (the “Terms”) describe the relationship between Tookyn, Inc. (“Tookyn,” “we,” or “us”) and the organization or individual using Tookyn products (the “Customer,” “you,” or “your”). By creating an account, signing an order form, or accessing our website or infrastructure, you agree to these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
1. Scope of services
Tookyn provides cloud infrastructure and traffic management solutions delivered through three primary offerings: Tookyn DNS, Tookyn Virtual Hosting, and the Tookyn API Gateway. The specific features, usage limits, and service levels applicable to your deployment are detailed in the order documentation agreed to by both parties. We may provide optional beta or preview capabilities; such features are offered “as is” and may be withdrawn at any time.
2. Account administration
You are responsible for maintaining accurate account information, safeguarding login credentials, and ensuring that only authorized personnel administer Tookyn services on your behalf. You must promptly notify Tookyn of any unauthorized use of your accounts or any security incidents that could affect Tookyn or its customers.
3. Product-specific commitments
Tookyn designs each product to provide dependable infrastructure controls:
- Tookyn DNS. Offers redundant authoritative DNS with configurable policies, vanity name servers, and observability for customer-managed zones. You retain responsibility for the records published through the service.
- Virtual Hosting. Delivers multi-tenant compute, storage, and managed backups from Tier III data centers. You are responsible for the applications and content hosted on your instances.
- API Gateway. Enforces routing policies, authentication, and rate-limiting for upstream services. You must ensure that upstream endpoints remain secure and able to respond to permitted traffic.
We may provide additional documentation specifying service level targets, maintenance windows, or integration requirements. Those documents are incorporated into these Terms.
4. Acceptable use
You agree not to use Tookyn services to violate any applicable law, to transmit malicious code, to interfere with another customer’s operations, or to access any Tookyn system other than through documented interfaces. Tookyn may suspend access when necessary to protect the platform, comply with legal obligations, or enforce these Terms. You remain responsible for all activity conducted through your accounts, including by third parties who receive access via your integrations or credentials.
5. Fees and payment
Fees are defined in the applicable order, including usage-based charges for queries, bandwidth, or compute consumption. Unless otherwise stated, invoices are due within thirty (30) days of the invoice date. Late payments may incur finance charges or result in service suspension. You are responsible for applicable taxes, duties, and governmental assessments associated with your purchase, excluding taxes based on Tookyn’s net income.
6. Service availability and support
Tookyn monitors infrastructure continuously and delivers support aligned to the plan specified in your order. We provide notice of planned maintenance at least forty-eight (48) hours in advance when practicable and schedule disruptive work during low-traffic windows. 7. Data protection and security
Tookyn will implement administrative, technical, and physical safeguards designed to protect Customer Content and personal data processed on your behalf. We collect and use telemetry, logging, and diagnostic information to operate the services. Additional privacy commitments are described in the Tookyn Privacy Policy. If the parties require a data processing agreement or regional-specific terms, those documents will supplement these Terms.
8. Customer content and intellectual property
You retain all rights to the domains, configurations, software, and data that you deploy through Tookyn. You grant Tookyn a non-exclusive license to host, transmit, and process Customer Content solely to provide the services and to fulfill support obligations. Tookyn retains ownership of the platform, including any improvements or feedback incorporated into the services.
9. Third-party services
Integrations or extensions offered through Tookyn may rely on third-party providers, such as certificate authorities, monitoring vendors, or data center partners. We vet these providers for compatibility and reliability, but they operate under their own terms. We are not responsible for interruptions or acts outside Tookyn’s reasonable control.
10. Term, suspension, and termination
These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach that remains uncured thirty (30) days after written notice. Tookyn may suspend access immediately in order to address security threats, prevent misuse, or comply with law. Upon termination, you may export available configurations, and Tookyn will delete Customer Content within the retention periods described in our policies, unless a longer retention period is required by law.
11. Changes to the services or Terms
We may update these Terms or the services from time to time to reflect new capabilities, legal requirements, or best practices. Material changes will be communicated through email or the Tookyn administrator console at least thirty (30) days before they take effect, unless immediate updates are required for legal or security reasons. Continued use of the services after a change takes effect constitutes acceptance of the updated Terms.
12. Governing law
These Terms are governed by the laws of the State of Delaware, excluding its conflict of law rules. The parties agree to resolve disputes through good-faith negotiations; if a dispute cannot be resolved, the parties consent to the jurisdiction of the state and federal courts located in Wilmington, Delaware.
